License For Customer Use of BABELSOFT Software

IMPORTANT NOTICE -- READ CAREFULLY: This License For Customer Use of BABELSOFT Software ("LICENSE") is the agreement which governs use of the software of Cyril APAN ("BABELSOFT") downloadable herefrom, including computer software and associated printed materials ("SOFTWARE"). By downloading, installing, copying, or otherwise using the SOFTWARE, you agree to be bound by the terms of this LICENSE. If you do not agree to the terms of this LICENSE, do not download the SOFTWARE.

RECITALS

Use of BABELSOFT's products requires two elements: the SOFTWARE and a personal computer. The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE is not sold, and instead is only licensed for use, strictly in accordance with this document. This LICENSE sets forth the terms and conditions of the SOFTWARE LICENSE only.

1. DEFINITIONS

1.1 Customer.

Customer means the entity or individual that downloads the SOFTWARE.

2. GRANT OF LICENSE

2.1 Rights and Limitations of Grant.

BABELSOFT hereby grants Customer the following non-exclusive, non-transferable right to use the SOFTWARE, with the following limitations:

2.1.1 Rights.

The SOFTWARE is a freeware product developed for normal users, and users of approved services. As such it can be used freely at home, work, school, or public place for any personal, non-profit, non-commercial goals. Using the SOFTWARE for commercial purposes without the permission of BABELSOFT is prohibited.

2.1.2 Limitations.

No Reverse Engineering. Customer may not reverse engineer, decompile, or disassemble the SOFTWARE, nor attempt in any other manner to obtain the source code.

No Separation of Components. The SOFTWARE is licensed as a single product. Its component parts may not be separated for use on more than one computer, nor otherwise used separately from the other parts.

2.1.3 Exceptions.

The SOFTWARE uses third-party libraries, to which the current LICENSE doesn't apply.

FFmpeg / Libav libraries are used in accordance with the LGPL v2.1.

Libpng and Zlib are used in accordance with their respective licensing terms.

3. TERMINATION

This LICENSE will automatically terminate if Customer fails to comply with any of the terms and conditions hereof. In such event, Customer must destroy all copies of the SOFTWARE and all of its component parts.

Defensive Suspension. If Customer commences or participates in any legal proceeding against BABELSOFT, then BABELSOFT may, in its sole discretion, suspend or terminate all license grants and any other rights provided under this LICENSE during the pendency of such legal proceedings.

4. COPYRIGHT

All title and copyrights in and to the SOFTWARE (including but not limited to all images, photographs, animations, video, audio, music, text, and other information incorporated into the SOFTWARE), the accompanying printed materials, and any copies of the SOFTWARE, are owned by BABELSOFT, or its suppliers. The SOFTWARE is protected by copyright laws and international treaty provisions.

5. APPLICABLE LAW

This LICENSE shall be deemed to have been made in, and shall be construed pursuant to, the laws of France. The United Nations Convention on Contracts for the International Sale of Goods is specifically disclaimed.

6. DISCLAIMER OF WARRANTIES AND LIMITATION ON LIABILITY

6.1 No Warranties.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND BABELSOFT AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Without limiting the foregoing, you are solely responsible for determining and verifying that the SOFTWARE that you obtain and install is the appropriate version for your model of graphics controller board, operating system, and computer hardware.

6.2 No Liability for Consequential Damages.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BABELSOFT OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF BABELSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. REDISTRIBUTION

7.1 Redistributing the SOFTWARE without the permission of BABELSOFT is prohibited.

7.2 Making changes to the SOFTWARE's installation program without the permission of BABELSOFT is prohibited.

8. MISCELLANEOUS

If any provision of this LICENSE is inconsistent with, or cannot be fully enforced under, the law, such provision will be construed as limited to the extent necessary to be consistent with and fully enforceable under the law.

This LICENSE is the final, complete and exclusive agreement between the parties relating to the subject matter hereof, and supersedes all prior or contemporaneous understandings and agreements relating to such subject matter, whether oral or written. This LICENSE may only be modified in writing signed by an authorized officer of BABELSOFT. Customer agrees that it will not ship, transfer or export the SOFTWARE into any country, or use the SOFTWARE in any manner, prohibited by any French export laws, restrictions or regulations.

IMPORTANT –- A LIRE AVEC ATTENTION: ce contrat d'utilisation du logiciel BABELSOFT ("CONTRAT") est le contrat qui régit l'utilisation du logiciel de Cyril APAN ("BABELSOFT"). Ce CONTRAT est téléchargeable sur ce site, il comprend le logiciel et les informations qui y sont associées ("LOGICIEL") et que vous pouvez imprimer. En téléchargeant, installant, copiant ou en faisant une autre utilisation du LOGICIEL, vous vous engagez à respecter les termes de ce CONTRAT. RAPPELS

Pour utiliser les produits BABELSOFT, il faut deux choses: le LOGICIEL et un ordinateur. Le LOGICIEL est protégé par les lois régissant le droit de copie/reproduction et les traités de copie/reproduction internationaux, tout comme les lois et traités sur la propriété intellectuelle. Le LOGICIEL est fourni à titre gratuit mais soumis à un CONTRAT d'utilisation représenté par ce document. Ledit CONTRAT détermine uniquement les termes et conditions de la licence logicielle ("LICENCE LOGICIELLE").

1. DEFINITIONS

1.1. Le client.

Le client ou utilisateur désigne l'entité ou l'individu qui télécharge le LOGICIEL.

2. DROIT DE LICENCE

2.1 Droits et limites.

Par la présente, BABELSOFT offre a l'utilisateur un droit d'utilisation du LOGICIEL, non exclusif et non transférable, en respect des conditions suivantes:

2.1.1 Droits.

Le LOGICIEL est un produit gratuit développé pour des utilisateurs normaux, et les utilisateurs de services homologués. En tant que tel, il peut être utilisé gratuitement à la maison, au travail, à l'école, ou en place publique à des buts personnels, non-lucratifs et non-commerciaux. Utiliser le LOGICIEL à buts commerciaux sans le consentement de BABELSOFT est strictement interdit.

2.1.2 Limitations

Pas de rétroingénierie. L'utilisateur n'a pas le droit d'opérer de rétroingénierie, de décompiler ou désassembler le LOGICIEL ou encore essayer d'obtenir par n'importe quel moyen que ce soit le code source.

Pas de séparation des éléments logiciels. Le LOGICIEL dispose d'un brevet unique. Les éléments qui le composent ne doivent en aucun cas être séparés pour être utilisés sur d'autres ordinateurs ou de maniere indépendante.

2.1.3 Exceptions.

Le LOGICIEL utilisent des bibliothèques logicielles tierces, auxquelles le présent CONTRAT ne s'applique pas.

Les bibliothèques FFmpeg / Libav sont utilisés en accord avec le LGPL v2.1.

Libpng et Zlib sont utilisés en accord avec leurs termes de contrat respectifs.

3. RESILIATION

Ce CONTRAT sera résilié de plein droit à tout utilisateur qui ne respectera pas les termes et conditions énoncées par la présente. Dans l'hypothèse de cette interdiction d'utilisation, l'utilisateur se verra dans l'obligation de détruire chacune des copies qu'il aura faites du LOGICIEL ou des éléments du LOGICIEL.

Suspension Défensive. Si le client commence ou participe à une procédure légale contre BABELSOFT, alors BABELSOFT pourra, à sa seule discrétion, suspendre ou résilier tous droits d'utilisation et autres droits associés au CONTRAT pendant les procédures légales en instance.

4. DROITS D'AUTEUR

Les droits d'auteur sur le LOGICIEL et son contenu (y compris et sans etre limité aux images, photographies, animations, vidéo, sons, musique, texte et tout autre information incluse dans le LOGICIEL), les éléments imprimables et toutes les copies du LOGICIEL, sont la propriété de BABELSOFT ou de ses fournisseurs. Le LOGICIEL est protégé par les dispositions des traités et lois internationaux en vigueur en matière de droits d'auteur.

5. LOI APPLICABLE

Tout litige issu du présent CONTRAT sera soumis a l'autorité d'instruction et jugé par les tribunaux de France, selon les lois en vigueur dans cet Etat.

6. LIMITES DE GARANTIE ET DE RESPONSABILITE

6.1. Pas de garantie.

AUTANT QUE LA LOI APPLICABLE L'Y AUTORISE, LE LOGICIEL EST FOURNI "EN L'ETAT" SANS GARANTIE EXPRESSE OU IMPLICITE DE QUELQUE SORTE QUE CE SOIT DE LA PART DE BABELSOFT OU DE SES FOURNISSEURS, Y COMPRIS, MAIS SANS S'Y LIMITER, DES GARANTIES DE VALEUR MARCHANDE OU D'ADAPTABILITE A TOUT OBJECTIF PARTICULIER.

6.2. Pas de responsabilité pour les dommages induits.

AUTANT QUE LA LOI APPLICABLE L'Y AUTORISE, EN AUCUN CAS, BABELSOFT OU SES FOURNISSEURS NE POURRONT ETRE TENUS RESPONSABLES DE TOUT DOMMAGE QUEL QU'IL SOIT (Y COMPRIS, MAIS SANS S'Y LIMITER, DES DOMMAGES POUR PERTES DE BENEFICES, INTERRUPTION D'ACTIVITE, PERTE D'INFORMATIONS) ISSUS DE L'UTILISATION OU DE L'INCAPACITE A UTILISER LE LOGICIEL, ET CE MEME SI BABELSOFT A ETE AVERTI DE LA POSSIBILITE DE CES DOMMAGES

7. REDISTRIBUTION

7.1 La redistribution du LOGICIEL sans le consentement de BABELSOFT est strictement interdite.

7.2 Modifier le programme d'installation du LOGICIEL sans le consentement de BABELSOFT est strictement interdit.

8. DIVERS

La Convention des Nations Unis sur les contrats de ventes internationales de produits ne s'applique pas. Dans le cas ou certaines dispositions de ces termes seraient supplantées par des notifications légales expressément désignées, elles seront interprétées selon la loi en vigueur et mises en conformité avec cette loi.

Ce CONTRAT représente le document final, complet et exclusif formalisant l'accord entre les parties concernées; il remplace et annule tout autre accord ou contrat préalable, qu'il soit oral ou écrit. Le client s'engage à ne pas expédier, transférer ou exporter ce LOGICIEL dans un autre pays, ou encore à ne pas l'utiliser de quelque manière que ce soit si cela viole les lois ou régulations françaises sur l'exportation. Les modifications à ce CONTRAT se feront uniquement par écrit, signées par une personne désignée par BABELSOFT.

1. 定义

客户指下载软件的机构或个人。

2. 许可授权

2.1 权利和授权限制

「博语软件」在此向客户授予下列非专属、非转让软件使用权利，授权包含一定的限制条件：

本软件是一款为能够接受本软件供应商及其许可方提供的服务的用户而制作的非商业用途的免费软件。用户可以在家庭，企业，学校，政府等任何地点自由的使用本软件。本软件仅用于个人或非商业目的。在没有得到版权所有者许可的情况下，不得以任何方式使用本软件提供（或作为一部分）任何商业服务或应用。

2.1.2 限制

不得进行反向工程：客户不得对软件进行反向工程、反向编译或反汇编，也不得以任何方式试图获取软件的源代码。

不得分开使用：软件是以单独产品进行许可的。其组件不得分开使用在不同的计算机上，或以其他方式进行分开使用。

2.1.3 例外

本软件使用某些第三方函式库，它们在别的使用许可议下发布。

FFmpeg 和 Libav 的函式库遵守 LGPL v2.1。

Libpng 和 Zlib 遵守各自的许可条款。

3. 终止

如果用户不能遵守本许可的任何条款和条件规定，本许可将自动终止。在这种情况下，客户必须销毁所有软件拷贝及其所有组件。

防御性中止：如果客户提起或参与任何针对「博语软件」的法律诉讼，那么「博语软件」可以自己决定中止或终止在诉讼未决期间根据本许可提供的所有许可授权和任何其他权利。

5. 适用法律

本许可证须视为依据法国法律制定，而且应依据这些法律来解释。「联合国国际货物销售合同公约」不适用于本许可。

6. 担保放弃和责任限制

6.1 无保证

在适用法律允许的最大限度内，软件按其"现状"提供，而且「博语软件」及其供应商声明不做任何明示、暗示或法定的保证，包括但不限于就适销、适合 于某种特定用途、所有权或不侵犯第三方权利的暗示的保证。在不限制上述规定的前提下，您应独自负责决定并确认您获取并安装的软件是适合于您的控制面版、操作系统及电脑硬件的版本。

6.2 不对衍生性损失负责

在适用法律允许的最大限度内，即使「博语软件」已被告知有此种损害发生的可能性，「博语软件」或其供应商亦不承担因使用或不能使用软件导致的任何特殊、附随、间接或衍生的损失（包括但不限于商业利润损失、数据损失、经营中断、商业信息损失或其他任何惩罚性损失）。

7. 再发布

7.1 本软件在未经过版权所有者许可的情况下禁止再发布。

7.2 本软件在再发布的情况下，必须按照当前的安装文件来进行发布，并且包含原始软件的全部所有权公告。

8. 其他

如果本许可的任何条款规定与法律规定不一致或根据法律规定不能执行，该条款将在与法律规定一致或根据法律规定能完全执行的范围内进行解释。

本许可是协议双方就协议主旨达成的最终的、完整非专属协议，并将取代所有以前或临时达成的书面或口头谅解或协议。本许可只能由「博语软件」授权代表以书面形式进行修订。客户同意不向法国任何出口法律、规定和法规禁止的国家装运、转让或出口软件或以任何禁止的方式使用软件。
